Chief executive Dalton Philips told BBC Radio 4's Today programme: "This is a very good transaction for both parties. We're going from a standing start to the fast lane in the blink of an eye."Morrisons will make an initial payment of £170m to Ocado to acquire the Dordon centre, then a further £46m to expand it and establish a delivery network.
Morrisons expects a return on its investment within three or four years, Mr Philips said.
Neil Saunders, retail analyst with Conlumino, told the BBC: "This is a transforming deal for Morrisons that will allow them to make the move online in an efficient and effective way that is easily scalable. In many ways, it's the best possible solution for them.
"It is a good deal for Ocado, too, in that it broadens its business model and provides it with an injection of capital for future investment. The unknown in the mix is the reaction of Waitrose."
Waitrose worryOcado said its current contractual agreement with Waitrose would "remain unaffected by these arrangements" and that customers would experience "no change to the service" as a result of the deal.

Waitrose signed a deal with Ocado in 2000 and now serves up to 40,000 online shoppers a week.
Ocado's shares closed 36% higher. Its shares have risen 149% over the past year.
The system of telephone numbers has evolved as technology has advanced Some people are "put off" making important calls because of confusion over the amount they will be charged, according to the telecoms regulator.Ofcom is planning a change in the system of "non-geographic" numbers, which start with 03, 08 or 09.
Markham Sivak, who is leading the review, said research had found some phone users believed costs were higher and so decided not to make vital calls.
But the new rules will take more than a year to implement.
The system of phone number prefixes has built up over the years as the technology has advanced.
Ever since numbers moved from solely simple area codes, a whole host of new numbers and charging structures has evolved.
These range from UK-wide numbers used by charities and not-for-profit organisations, to premium rate lines - offering horoscope readings or chat lines - which can cost as much as £2.60 a minute.
An Ofcom guide to the different charges runs to three pages, prompting the regulator to come up with a simplification plan.
"We have a complicated system. It is time to tidy it all up at once, not to make lots of little changes," said Mr Sivak.
Public pressureAt present, 0800 and 0808 calls are free from landlines but are often charged when the calls are made on mobiles. Under the plans all of these "freephone" calls will actually be free.

For example, some calls that start with 087 include a call set-up fee, whereas some starting with 084 do not. Meanwhile, some 0845 and 0870 numbers are included in packages - making them free at certain times of day - whereas 0844 or 0871 numbers are generally not included.
The complexity has led to pressure - from the regulator, the public and MPs - on key organisations to switch their numbers to one with a slightly cheaper 030 prefix, mainly because these are free in call packages.
HM Revenue and Customs is planning to move all its helplines, such as the self-assessment tax line, to 030 numbers by the end of the summer.
One pressure group has also been running a campaign, highlighting alternative geographic numbers to those fed up with calling 08 numbers.
Charges splitThe key to these chargeable 08 numbers or premium rate 09 numbers is that some of the fee goes to the telephone company and some to the business that is providing the service.
The changes aim to make it clearer where the cost of the call goes This helps pay for the cost of the service, such as bus or train timetables, but it also means a profit can be made from these calls.
Some 93% of people asked in a survey by market research company Consumer Intelligence said they thought it was unfair that companies could make money from such calls.
Under Ofcom's proposals, the charges will be split into two sections so consumers know what they are paying and where the money is going.
Callers will be told: "This call will cost x pence per minute, plus your standard access charge."
The access charge is a fixed fee that will go to the telephone company. The service charge, quoted in pence per minute, goes to the company being called.
Consultation on the plans ends on 28 May and the regulator hopes the new system will be in place by the start of 2015.
The Federation of Small Businesses wants the changes to be made efficiently, and in one go.
"If it is one good overhaul, we would welcome that, but it never seems to be that way. It may be another five years, or it could be 10 years, but change keeps happening," said Mike Cherry, the FSB's national policy chairman.
Meanwhile, a spokesman for mobile operator O2 said: "Currently, even though we levy retail charges for calls to 0800 numbers, O2 customers can call many of these numbers for free. These include Childline, Crimestoppers and 0800 Reverse.
"In the future, Ofcom proposes that service providers make adequate payments to mobile operators to cover the cost of originating calls to 080 numbers. We support this approach. There are costs associated with delivering mobile phone calls to 0800 services and these need to be recovered, somehow."
M&S has rolled out contactless payments to 644 UK stores Some Marks and Spencer customers have told the BBC of cases where the chain's contactless payment terminals have taken money from cards other than the ones intended for payment.Card are supposed to be within about 4cm of the front of the contactless terminal to work.
But some customers say payments have been taken from cards while in purses and wallets at much greater distances.
M&S said its systems had been extensively tested and were robust.

She believes her contactless Smile card was much more than 4cm away from the terminal when she visited Marks and Spencer in Chichester in April and tried to pay with her regular Lloyds debit card.
She told BBC Radio 4's Money Box programme: " I put my card into the reader and the assistant was asking whether or not I wanted cash back.
"Before I could answer, the transaction came up as complete and the till issued a receipt so I hadn't put in a Pin at all at that stage. I queried it with an assistant and she looked rather puzzled and looked at the receipt and compared it to my card and realised that the numbers didn't tally."
Rosemary recognised that the four digits on the till receipt belonged to a Smile card she had in her purse, which she was holding in her other hand.
She had not realised until then that this card was able to make contactless payments.
Even when she realised it could, she thought her purse was about a foot away from the terminal when the payment was taken.
Paid twiceRosemary explained what had happened to a Marks and Spencer manager, who asked her to try to repeat the transaction so he could see it himself.
Again, the Smile contactless card was debited instead of the Lloyds card she had intended to make the payment from.
M&S refunded the two transactions and a third attempt to use the Lloyds card to pay was successful.
Paula, from London, ended up paying for the same items twice.
Like Rosemary, she put her NatWest card into the chip-and-pin terminal but had her HSBC contactless card she was holding in her purse in her other hand debited instead, before she could enter her PIN.

It was only a month later when she looked at her bank statement that she realised that her HSBC card was contactless, and that she had paid twice.
She returned to Marks and Spencer with her statement and it refunded her the payment on her NatWest card.
It's not just Marks and Spencer customers who have experienced this sort of problem.
A Pret a Manger customer also contacted Money Box to report a payment was taken from her contactless-enabled MBNA visa credit card in the outlet when she intended to pay with a different card.
She says the MBNA card was in her purse around 30-40 cm from the contactless card reader.
And again, she had not realised that card had a contactless facility.
Card proximityMartin Emms is a researcher into new payment formats at Newcastle University's Centre for Cybercrime and Computer Security.
He also found his contactless card was debited when he placed it a few centimetres to the side of the reader from inside his wallet when he intended to pay with a normal debit card.
"If you're placing your card to the side of the reader your intention isn't to pay," he said. "The terminal is working within the specification of Near Field Communication but not within the intent."
Money Box first raised this as an issue with Marks and Spencer back in February. It told the programme the maximum distance its terminal can read a contactless card is 4cm directly above the terminal and the field does not extend beyond the edge of the terminal area. And it said its contactless payment cannot be made if there is another card placed in the reader.
Marks and Spencer said it would like to hear from any customer who had experienced an involuntary payment."We are surprised to hear the comments from your listeners, we've had almost entirely positive feedback and take-up has been very strong. We have tested our systems extensively both in labs and in stores and are confident they are robust and fit for purpose.
"A contactless card can be read through material, e.g. a wallet, but the wallet would have to be presented to the terminal. "
The technology used by M&S is provided by Visa Europe.
It said that the customer reports were "extremely unusual", and it was working with M&S and the acquiring bank to investigate the concerns.
Pret a Manger said it had not heard before of customers experiencing this, but it was investigating and it would like to hear from any other customers who have had this happen to them.
Money Box spoke to the banks whose contactless cards had been debited in error.
They said they explained what contactless cards were in accompanying literature when they sent them out.
And they said the effective range of the card was 5cm.
Richard Koch, head of policy at banking industry body UK Cards, admitted that the banks and retailers may have to look at ways of improving the contactless system.
"We're very much in the initial stages of the roll out of contactless. We're monitoring very closely the issues that are presented," he said.

Sir Mervyn King said there "was no place in the long run" for Chancellor George Osborne's Help to Buy scheme.
Under the scheme, due to run for three years from January 2014, the government will guarantee up to 15% of a mortgage on properties worth up to £600,000.
The Treasury said it would "support home buyers and home building".
"The mortgage guarantee scheme will provide much-needed help for people who can't afford a big deposit to get a mortgage," a spokesman said.

Joe Lynam BBC News It's pretty rare for a sitting Bank of England Governor to publicly question government policy - however politicised that policy may appear.
But the fact that he's stepping down from the post he's held for a decade appears to have loosened Sir Mervyn's tongue a little.
More relevant though is the fact that many economists share Sir Mervyn's concerns about the Help to Buy scheme.
Some feel that the government has no business intervening in a private market - whatever the circumstances.
Others fear that such intervention could stoke up the kind of reckless borrowing that got the UK into such economic trouble only five years ago. Borrowing and spending is not conducive to the long-term goal of rebalancing the British economy.
Finally and ironically, there may soon be less of a need to artificially kick-start home buying by the State.
House prices are rising and the criteria for bank lending is also less strict than it was even a year ago- signalling a returning confidence.
An economy inching its way upwards - however glacially - may be one that doesn't need direct government intervention in the market.
He said the scheme represented "a good use of the government's fiscal credibility". 'Too close for comfort'But in an interview with Sky News' Murnaghan programme on Sunday, Sir Mervyn, who has just over a month left of his decade-long tenure as bank governor, publicly questioned the policy.
"I'm sure that there is no place in the long run for a scheme of this kind," he said.
"This scheme is a little too close for comfort to a general scheme to guarantee mortgages. We had a very healthy mortgage market with competing lenders attracting borrowers before the [financial] crisis, and we need to get back to that healthy mortgage market.
"We do not want what the United States have, which is a government-guaranteed mortgage market - and they are desperately trying to find a way out of that position."
He added: "So, we mustn't let this scheme turn into a permanent scheme... when is the right time to terminate it will depend on economic conditions at the time."
BBC business correspondent Joe Lynam said Sir Mervyn was concerned that, should the scheme become permanent, it could leave taxpayers exposed to billions of pounds in private mortgage debt for years to come.
Interest-free loansThe outgoing governor's comments about Help to Buy echo those of the Treasury Select Committee, which warned in April that the government would come under "immense" pressure to extend the scheme in three years' time.
But any such decision would be made by the bank's incoming governor, Mark Carney - the Canadian who was hand-picked by the chancellor to succeed Sir Mervyn.
The Treasury stresses that it explicitly included this provision in the scheme.
Help to Buy consists of two elements - an "equity loan" scheme and the mortgage guarantee.
Under the equity loan, new or existing homeowners will need to raise a deposit of 5% of the value of the property they want to buy, but can borrow up to a further 20% from the government on an interest-free basis. The biggest loan available will be £120,000.
In total the government will be guaranteeing £12bn worth of lending.
